Terms of use and sale
1. Purpose
These terms govern the use of the Olmind app and the sale of the subscriptions and credit packs that go with it. They apply to anyone who creates an account (“you”).
You accept them by using the app, and again with each purchase: the note under the subscribe button reminds you that subscribing means accepting the version in force. We keep the version you accepted and the date of your purchase.
Olmind is intended for individuals and businesses alike. The rules specific to consumers (withdrawal, legal guarantees, mediation) apply to any natural person acting for purposes outside their trade, business or profession.
2. The seller
Olmind is published and sold by Joan Wackernagel, entrepreneur individuel (EI), 3 impasse de la Caravelle, 31500 Toulouse, France — SIREN 894 356 039, RCS Toulouse 894 356 039.
Contact: contact@olmind.com.
Payments are collected by Whop Inc. (300 Kent Ave #401, Brooklyn, NY 11249, United States), which acts as merchant of record: Whop issues the receipt for each payment and collects and remits the VAT or tax due in the buyer's country.
3. The service
Olmind is a desktop app that brings together a project's resources (files, notes, links, captures, conversations) and provides an artificial intelligence assistant that draws on this context. Your files and the index used to find them stay on your computer.
For each project, you choose the engine: online AI models, or local models that run on your computer. Online, the content the task needs (excerpts, document text, images to describe, files you select) is sent, through our server and the OpenRouter service, to models hosted in the European Union, with no retention of the data by the providers. Locally, nothing is sent to online models. The privacy policy describes these flows in detail.
System requirements: a Mac with an Apple chip (Apple Silicon) running a recent version of macOS; 8 GB of memory at the very least, 16 GB recommended, and more for local models. An Internet connection is needed for the account, payment, updates and online models.
The app updates itself: new versions are downloaded in the background and installed when you restart the app.
4. An artificial intelligence
Olmind is an artificial intelligence system: the answers, summaries, suggestions and plans you read are generated automatically by AI models, not by a person.
This content may be inaccurate, incomplete or out of date. It is an aid to thinking and decision-making, not professional advice (legal, financial, accounting, medical or other). Check important information before acting on it.
When you allow it to, the assistant can read, create or modify files in your project. Every sensitive action is submitted to you for approval; you remain responsible for what you accept. We recommend that you back up your important files regularly.
5. Your account
Using Olmind requires an account, created with a Google account. Olmind never receives your password. You are responsible for the security of your Google account and for the use made of your Olmind account.
You must be at least 18 to buy a subscription or credits. A person aged 15 to 18 may use Olmind with the consent of their parents or legal guardians, who make the purchases. Olmind is not intended for children under 15; if we learn that an account belongs to someone under 15, we delete it.
6. Plans, prices and credits
Discovery: when you create your account, a one-time allowance of credits lets you try Olmind (in particular your first project recap). It is not renewed. Once it is used up, using the app, including with local models, requires a subscription or a remaining credit balance.
Pro: €19.99 per month, or €199.90 per year. Max: €39.99 per month, or €399.90 per year. Both plans give access to the same features and the same models; Max offers three times as much use of online models as Pro.
Credits measure the use of online models. Each request is counted according to its actual cost with the model providers: a short request costs little, a long analysis or a more powerful model costs more. Pro includes 3,000,000 credits per month and Max 9,000,000. Annual subscriptions receive their credits every month. Unused subscription credits do not carry over to the following month. Local models do not use credits.
Credit packs: available to Max subscribers only, they add credits to your balance (€5: 2,000,000; €15: 6,500,000; €50: 22,000,000). They do not expire, remain usable after your subscription ends, and are used after the month's subscription credits.
Outside Europe, the same plans and packs are offered in US dollars, at the same amounts ($19.99, $199.90, $39.99, $399.90; packs $5, $15, $50).
The applicable prices are those shown at the time of the order. Euro prices include VAT; dollar prices exclude tax, the applicable tax being added at payment.
7. Ordering and payment
You can subscribe from the app or from olmind.com. Before you pay, Whop's payment page sums up the plan, the price, the taxes and the billing period; the payment button states that placing the order obliges you to pay.
Payment is made by bank card or by the other means offered by Whop, which may ask you to create a Whop account to manage your subscription. Olmind never has access to your bank details. The subscription is paid in advance, at the start of each period.
After your purchase, you receive a confirmation email setting out the essential information of your order, a link to these terms and the withdrawal form. Whop provides a receipt for each payment.
8. Term, renewal and price changes
The monthly subscription renews automatically every month, and the annual subscription every year, at the price then in force, until you cancel it.
For an annual subscription, we send you an email, no earlier than three months and no later than one month before it renews, reminding you of the renewal date, the amount and your right not to renew.
If the price of your plan changes, we notify you by email at least 30 days before it applies, that is, before your next renewal. The new price never applies to a period already paid, and you can cancel before it takes effect.
9. Right of withdrawal (14 days)
If you are a consumer, you have 14 days from your subscription or from the purchase of a credit pack to withdraw, without having to give a reason.
By paying, you expressly request immediate access to the service, before this period ends. If you withdraw, you therefore remain liable for the amount corresponding to the service already provided up to your withdrawal (in proportion to the time elapsed for a subscription, to the credits used for a pack); the rest is refunded to you.
To withdraw: use the “Withdraw from the contract here” page (olmind.com/withdrawal, also reachable from Settings → Account in the app), or send us the form at the end of these terms, or any other unambiguous statement, at contact@olmind.com. You receive a dated acknowledgement of receipt.
We refund you no later than 14 days after receiving your withdrawal, using the means of payment used for the purchase, at no cost to you. Your access ends at that point.
10. Cancelling your subscription
You can cancel at any time, at no cost and without giving a reason: from Settings → Account → Manage in the app, from “Manage subscription” on olmind.com, or without even signing in, with the “Cancel your subscription” page (olmind.com/cancel). You receive an acknowledgement of receipt stating the date the cancellation takes effect.
Cancellation takes effect at the end of the period already paid: you keep your plan and the month's credits until then. The current period is not refunded, unless you exercise the right of withdrawal. Pack credits you have not used remain yours.
Your files, notes and conversations stay on your computer after cancellation: they are ordinary files, which you can open with other tools.
11. Changing plans
Moving from Pro to Max takes effect immediately: you pay the difference in proportion to the remaining period and receive the corresponding credits.
Moving from Max to Pro, or changing the billing period (monthly or annual), takes effect at the end of the period already paid, with no refund of the current period.
12. Failed payment, suspension and inactive accounts
If a payment fails, your subscription is suspended until the payment is made; your pack credits remain yours.
We may suspend or close an account in the event of a serious breach of these terms (fraud, unlawful use, compromising the security of the service), after informing you and, except in an emergency, giving you the opportunity to explain yourself. If an account is closed without justification, you are refunded for the period paid and not used.
An account with no current subscription and no use at all for 3 years is deleted. We warn you by email at least 30 days beforehand: simply signing in again keeps it. Deletion also deletes the remaining credits, including pack credits; the warning email tells you so.
13. Your content
The files, notes, captures and conversations you entrust to Olmind remain yours. You grant Olmind only the rights needed to provide the service: storing and indexing them on your computer, and sending online models the content the tasks you launch in an online project need.
Your content is never used to train AI models and is never sold. The model providers we use undertake not to keep it.
You are responsible for the content you import. In particular, third-party posts you capture (social networks, web pages, bookmarks) are for your personal use only: you make sure you respect their authors' rights and the terms of use of the platforms concerned.
14. Acceptable use
You agree not to use Olmind for unlawful activities; to produce or spread unlawful or hateful content or content that infringes the rights of others; to try to compromise the service (getting around limits or protections, massive automated access, reselling or sharing your access); or in breach of the model providers' usage rules.
You may not use Olmind from a country subject to economic sanctions by the European Union or the United Nations, nor if you yourself appear on a sanctions list.
15. Changes to the service
Olmind is actively evolving: features and models may be added, improved, replaced or removed, at no extra cost to you.
If a change reduces your access to the service or its usefulness by more than a minor amount, we inform you in advance by email or in the app. You may then end your contract at no cost within 30 days of this notice or of the change, and be refunded for the period paid and not used.
16. Legal guarantee of conformity
If you are a consumer, you benefit from the legal guarantee of conformity for digital content and services (articles L224-25-1 et seq. of the French Consumer Code) for the whole duration of your subscription. We must provide you with a service that conforms to the contract, as well as the updates needed to keep it that way.
If the service does not conform, you can have it brought into conformity; failing that, or if this is not done within a reasonable time, you can obtain a price reduction or the termination of the contract with a refund. You do not have to prove that the defect existed: it is up to us to prove that the service conforms. Report it to contact@olmind.com.
These guarantees are in addition to your other rights; no clause of these terms can limit them.
17. Liability
We provide Olmind with the care of a diligent publisher. The service may nevertheless experience interruptions (maintenance, a model provider's outage, a network incident), which we strive to keep to a minimum.
We are not responsible for the decisions you make on the basis of generated content (see article 4), nor for damage caused by your own use, by content you import or by an action you accepted.
If you are a business, our liability is limited to the amounts you have paid over the last twelve months. If you are a consumer, this cap does not apply to you, and in any case nothing in these terms excludes our liability for gross negligence or wilful misconduct, for personal injury, or under the legal guarantees.
18. Intellectual property
The app, its code, its brand and its content belong to the publisher or its licensors. Your subscription gives you a personal, non-exclusive and non-transferable right to use Olmind for the duration of your contract.
Olmind includes open-source software and third-party AI models, used under their respective licences.
19. Personal data
The processing of your personal data is described in our privacy policy (olmind.com/privacy), which forms part of these terms.
20. Changes to these terms
We may change these terms, in particular to keep up with the law or the service. We inform you of any significant change by email or in the app at least 30 days before it comes into force. For a current subscription, it applies from your next renewal; if you refuse it, you can cancel at no cost before that date.
21. Complaints
For any complaint, write to us at contact@olmind.com: we will answer you as quickly as possible.
22. Governing law and disputes
These terms are governed by French law. If you are a consumer and live in another country, you keep the protection of the mandatory rules of your country of residence.
In the event of a dispute, we will first seek an amicable solution. Failing that, the consumer may bring the matter, at their choice, before the court of the place where they lived when the contract was concluded or when the harmful event occurred, or before any other court with jurisdiction under the law. For businesses, the courts of Toulouse have exclusive jurisdiction.
These terms are written in French; their translations are provided for your convenience, and the French version prevails in the event of any discrepancy.
